VASTU CONSULTANCY BY ERA

Nature of Service
ERA provides Vastu advisory and consultancy services based on traditional principles, site observations, layouts, and professional interpretation. The service is advisory in nature and does not replace architectural, structural, or statutory requirements.

Scope of Advice
Recommendations may include layout planning, directional corrections, zoning guidance, and remedial suggestions. Implementation of such recommendations remains entirely at the discretion of the client.

No Absolute Outcome Assurance
While ERA applies established Vastu principles with professional diligence, results may vary depending on multiple factors including site conditions, existing construction, client decisions, timelines, and external influences.
ERA does not warrant or promise specific personal, financial, or professional outcomes.

Client Responsibility
The client acknowledges that Vastu recommendations are one of many influencing factors and agrees that decisions, implementation, and consequences thereof rest solely with the client.

Site & Information Accuracy
ERA’s advice is based on information, drawings, and site access provided by the client. ERA shall not be responsible for inaccuracies arising from incomplete or incorrect information.

Limitation of Liability
ERA shall not be liable for indirect, incidental, or consequential outcomes arising from the application or non-application of Vastu advice.

Intellectual Property
All reports, layouts, drawings, and recommendations remain the intellectual property of ERA unless otherwise agreed in writing.

Jurisdiction
All disputes shall be subject to the jurisdiction of courts as mutually agreed or as per applicable law.

BuildWise — Owner’s Technical Control Consultancy

 Scope of Services
BuildWise provides owner-side technical control, architectural consultancy, and periodic site supervision services with the objective of ensuring correct interpretation and execution of approved drawings and specifications.
BuildWise acts solely as an independent consultant representing the owner’s technical interests.


 Nature of Engagement
BuildWise is engaged as a consultancy and control service provider, not as a contractor, builder, or executing agency.
BuildWise does not undertake: Construction execution Labor management Material procurement or supply
Contractor payment handling Statutory or legal representation


 Responsibility & Accountability
BuildWise’s responsibility is limited to:
Technical review and interpretation of drawings Identifying deviations and execution risks
Issuing written recommendations and corrective instructions
Advising the owner on technical decisions affecting quality and outcomes
Final responsibility for execution, workmanship, safety, and site operations remains with the appointed contractor(s).


 Site Supervision
Site supervision by BuildWise is periodic and stage-based, as per the agreed scope, and not continuous or full-time unless explicitly stated in writing.
Observations and recommendations are based on:
Conditions visible at the time of visit
Information available during inspections
BuildWise shall not be responsible for concealed work, uninspected work, or work carried out between site visits without prior intimation.


 Instructions & Communication
All technical instructions, observations, and recommendations issued by BuildWise shall be considered valid only when provided in documented form, including:
Written site reports
Emails
Official messages or records
Verbal discussions or informal communications shall not be binding.


 Design Responsibility
If architectural design services are provided by BuildWise, they shall be governed under a separate written agreement.
If design services are provided by third-party consultants, BuildWise’s role shall be limited to review, coordination, and execution alignment, and shall not constitute original design liability.


 Deviations & Non-Compliance
BuildWise shall not be held responsible for:
Work executed against written advice
Deviations carried out without approval
Changes implemented without documentation
Instructions overridden by the owner or contractor
Any work carried out contrary to BuildWise’s written recommendations shall absolve BuildWise from associated liability.


 Delays & External Factors
BuildWise shall not be responsible for delays arising from:
Contractor inefficiency or non-performance
Labor or material shortages
Weather conditions
Statutory approvals or inspections
Force majeure events


 Fees & Payment
Fees shall be payable as per the agreed schedule, irrespective of project progress delays not attributable to BuildWise.
Delayed payments beyond agreed terms may result in temporary suspension of services until dues are cleared.


 Limitation of Liability
BuildWise’s total liability, if any, shall be limited to the fees received for the specific service period under dispute.
BuildWise shall not be liable for indirect, consequential, or economic losses.


 Confidentiality
All drawings, documents, project data, and communications shared with BuildWise shall be treated as confidential and used solely for the purpose of service delivery, unless disclosure is legally required.


 Intellectual Property
All reports, documents, notes, and recommendations prepared by BuildWise remain its intellectual property until full payment of applicable fees.


 Termination
Either party may terminate the engagement by providing written notice as per the agreed terms.
All services rendered and expenses incurred up to the termination date shall remain payable.


 Governing Law
These Terms & Conditions shall be governed by and interpreted in accordance with the laws applicable in India.

CO-DEVELOP BY ERA

 Scope of Engagement
ERA shall act as a co-development partner, participating in the planning, structuring, coordination, and execution oversight of the project, subject to the agreed development model. ERA’s role may vary depending on whether the client contributes land or capital, and shall be clearly defined in the project-specific agreement.

 Ownership & Contribution Structure
Where the client contributes land, consideration shall be provided in the form of constructed units or revenue share, as mutually agreed.
Where the client contributes capital, ERA shall identify and structure development opportunities accordingly. Final allocation, ratios, and entitlements shall be documented separately and shall prevail over general descriptions.

 Decision-Making & Authority
ERA shall provide strategic input, development planning, coordination, and advisory support. Final statutory approvals, financial decisions, and ownership-related decisions shall remain subject to agreed authority structures and applicable laws.

 Execution & Third Parties
ERA may coordinate with architects, contractors, consultants, and vendors. However, unless expressly stated, ERA does not act as a licensed contractor or statutory authority and does not directly execute construction.

 Financials & Risk
All projections, feasibility studies, and financial estimates are indicative and based on prevailing assumptions. Actual outcomes may vary due to market conditions, regulatory changes, material costs, labour availability, or force majeure events.

 Confidentiality
All commercial, financial, and project-related information shared between parties shall be treated as confidential and shall not be disclosed without prior written consent.

 Limitation of Liability
ERA’s liability, if any, shall be limited to the scope defined in the executed agreement and shall not extend to indirect, consequential, or market-driven losses.

 Termination
Either party may terminate the engagement as per the termination clauses defined in the project-specific agreement, subject to settlement of obligations already incurred.
